Terms of Service

These Terms of Service ("Terms") are a binding contract between you and Spill App, Inc., a Delaware corporation ("Spill," "we," "us," "our"), governing your access to and use of thespillapp.com, the Spill mobile app, the waitlist, and related services (collectively, the "Services"). The Spill Ambassador Program has its own Ambassador Program Agreement; these Terms govern general use of the Services.
By downloading or installing the Spill app, creating an account, joining the waitlist, or otherwise using the Services, you agree to these Terms and to our Privacy Policy. During sign-up you accept these Terms by checking the "I agree" box (or equivalent). If you do not agree, do not use the Services.
1. Eligibility and Accounts
You must be at least 18 years old to use the Services. The Services are intended only for adults 18 and over, and by using them you represent that you are 18 or older. We verify age by self-attested date of birth at sign-up; we do not require government ID. You are responsible for the activity on your account and for keeping your login secure. Provide accurate information and keep it current. We may refuse, suspend, or terminate accounts at our discretion as described below.
2. The Service: how Spill works
Spill is a daily-question social app. Each day, a question is released. You answer first, which unlocks the feed of other users' answers. You may answer anonymously or publicly, add a vibe tag, and react to others' answers. You understand that other users will see answers you choose to post (including anonymously posted answers, which are shown without your name but may still be seen, screenshotted, or shared by others). Do not post anything you would not want seen, saved, or reshared.
3. User Content and License
"User Content" means anything you submit, post, or share through the Services (answers, reactions, tags, and similar).
- You keep ownership of your User Content.
- You grant Spill a license. You grant Spill a worldwide, non-exclusive, royalty-free, sublicensable, transferable license to host, store, reproduce, display, adapt, and distribute your User Content to operate, promote, and improve the Services, including showing it in the feed and, where you posted publicly, featuring it in Spill marketing. Answers you post anonymously will be shown without your name, but may still be seen, screenshotted, or reshared. This license continues for content you have shared even if you later delete your account, to the extent it has been reshared by others or is retained in backups, but Spill will stop displaying deleted content in the active Services.
- You are responsible for your User Content and represent that you have the rights to post it and that it does not violate these Terms or any law or third-party right.
4. Acceptable Use and Community Rules
Spill's stance is anonymous, not lawless. Real stories, not harassment or gossip. Honest, never cruel. You agree not to:
- Harass, bully, threaten, dox, or target any person, or post someone's private information;
- Post content that is unlawful, defamatory, hateful, discriminatory, obscene, or sexually exploitative;
- Post sexual content involving minors or any content that sexualizes minors (zero tolerance; reported to authorities as required by law);
- Identify, accuse, or spread damaging claims about real, named people (no gossip-mining or naming others to shame them);
- Impersonate any person or misrepresent your affiliation;
- Infringe anyone's intellectual property or privacy;
- Spam, scrape, use bots, or attempt to circumvent the "answer first" mechanic or other features;
- Interfere with, attack, or attempt to gain unauthorized access to the Services.
We may remove content and suspend or terminate accounts that violate these rules.
5. Reporting and Moderation
You can report content or users through the in-app reporting tools or at hello@thespillapp.com. We may review, remove, or restrict content and accounts at our discretion to enforce these Terms and protect users, but we are not obligated to monitor all content and are not responsible for User Content posted by others. Prompts set the tone; reporting removes bad actors.
6. Spill Intellectual Property
The Services, including the Spill name, logo, brand, software, and design, are owned by Spill and its licensors and are protected by law. We grant you a limited, revocable, non-exclusive, non-transferable license to use the Services for personal, non-commercial use, subject to these Terms. You may not copy, modify, reverse engineer, or create derivative works of the Services except as allowed by law.
7. Third-Party Services
The Services may link to or rely on third-party services (for example, app stores, hosting, and analytics providers). We are not responsible for third-party services, and your use of them is governed by their own terms.
8. Termination
You may stop using the Services and delete your account at any time. We may suspend or terminate your access at any time, with or without notice, if you violate these Terms, create risk or legal exposure for Spill, or for any other reason permitted by law. Sections that by their nature should survive termination (including Sections 3, 6, and 9 through 12) survive.
9. Disclaimers
THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE," WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. We do not warrant that the Services will be uninterrupted, secure, or error-free, or that any content is accurate or reliable.
10. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, SPILL AND ITS OFFICERS, DIRECTORS, EMPLOYEES, AND AGENTS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, DATA, OR GOODWILL, ARISING OUT OF OR RELATING TO THE SERVICES. SPILL'S TOTAL AGGREGATE LIABILITY ARISING OUT OF OR RELATING TO THE SERVICES WILL NOT EXCEED THE GREATER OF THE AMOUNT YOU PAID SPILL IN THE PRIOR TWELVE MONTHS OR ONE HUNDRED U.S. DOLLARS (US$100).
11. Indemnification
You agree to indemnify, defend, and hold harmless Spill and its officers, directors, employees, and agents from any claims, damages, losses, liabilities, costs, and expenses (including reasonable attorneys' fees) arising out of or related to your User Content, your use of the Services, your violation of these Terms, or your violation of any law or third-party right.
12. Disputes; Governing Law
These Terms are governed by the laws of the State of Delaware, without regard to conflict-of-laws rules. The exclusive venue for disputes is the state and federal courts located in Delaware, and you consent to their jurisdiction.
13. Changes to These Terms
We may update these Terms. Material changes will be posted with a new version number and effective date. Your continued use of the Services after the effective date means you accept the updated Terms.
14. General
These Terms and the documents they reference are the entire agreement between you and Spill regarding the Services and supersede prior understandings. If any provision is unenforceable, the rest remains in effect. Our failure to enforce a provision is not a waiver. You may not assign these Terms; we may assign them freely.
