Spill Ambassador Program — Release of Liability, Waiver & Indemnity

This Release of Liability, Waiver, and Indemnity (this "Release") is part of, and incorporated into, the Spill Ambassador Program Agreement between you and Spill App, Inc., a Delaware corporation ("Spill"). Capitalized terms not defined here have the meaning given in that Agreement. By checking "I agree" at sign-up, you accept this Release.

1. Voluntary Participation

You understand and agree that your participation in the Spill Ambassador Program (the "Program") is entirely voluntary. The Program consists primarily of online activity — sharing referral links and QR codes and posting Spill-approved content on social media. You choose whether, when, and how to participate.

2. Assumption of Risk

You knowingly and voluntarily assume all risks associated with your participation, including but not limited to: risks related to your online and social-media activity; exposure of your social-media presence; interactions with third parties; reliance on referral-tracking technology, dashboards, and leaderboards that may contain errors or be unavailable; and any consequences of content you choose to create or post.

3. Release and Waiver

To the maximum extent permitted by applicable law, you hereby release, waive, discharge, and covenant not to sue Spill and its parent, subsidiaries, affiliates, and their respective officers, directors, employees, agents, contractors, and assigns (collectively, the "Released Parties") from and against any and all claims, demands, causes of action, damages, losses, liabilities, and expenses of any kind, whether known or unknown, that arise out of or relate to your participation in the Program, including:

• Any loss, error, or interruption in referral tracking, the dashboard, the leaderboard, or prize calculation;
• Any dispute with third parties (including social-media platforms or other users) arising from your participation;
• Any harm to your reputation, accounts, devices, or data resulting from your participation; and
• Any decision to award, withhold, or revoke a prize made in accordance with the Official Competition Rules.

This Release does not apply to liability that cannot be waived as a matter of law, including liability arising from a Released Party's gross negligence, willful misconduct, or fraud, where such limitation on waiver is required by applicable law.

4. Indemnification

You agree to indemnify, defend, and hold harmless the Released Parties from and against any and all claims, damages, losses, liabilities, costs, and expenses (including reasonable attorneys' fees) arising out of or relating to: (a) your own acts, omissions, or misconduct; (b) any content you create, post, or distribute; (c) your breach of the Ambassador Program Agreement or any incorporated document; or (d) your violation of any law or any third party's rights. You are solely responsible for your own misconduct.

5. No Guarantee

You acknowledge that Spill makes no guarantee that you will earn any prize, reward, or benefit from participating, and that prizes are awarded only in accordance with the Official Competition Rules.

6. Acknowledgment

YOU HAVE READ THIS RELEASE, FULLY UNDERSTAND ITS TERMS, UNDERSTAND THAT YOU ARE GIVING UP SUBSTANTIAL RIGHTS BY AGREEING TO IT, AND AGREE TO IT FREELY AND VOLUNTARILY. THIS RELEASE IS GOVERNED BY THE LAWS OF THE STATE OF DELAWARE.
