Spill Ambassador Program — Content License & Publicity Terms

This Content License & Publicity Terms document (these "Content Terms") is part of, and incorporated into, the Spill Ambassador Program Agreement between you and Spill App, Inc., a Delaware corporation ("Spill"). By checking "I agree" at sign-up, you accept these Content Terms.

1. Spill-Provided Content

Spill may give you images, videos, captions, links, QR codes, and other materials ("Spill Content") to post. Spill Content is and remains the sole property of Spill. You receive a limited, non-exclusive, non-transferable, revocable license to post and share Spill Content only for authorized Program purposes during the Term, exactly as provided and in accordance with Spill's brand guidelines and instructions. You may not alter Spill Content unless Spill authorizes it.

2. Content You Create ("Ambassador Content")

You may also create your own posts, captions, images, or videos that feature or promote Spill or its products ("Ambassador Content"). You agree that all Ambassador Content must genuinely support the Spill brand, must not defame or disparage Spill, and must comply with the Ambassador Program Agreement and the FTC Disclosure & Code of Conduct.

2.1 Ownership / Assignment

To the maximum extent permitted by law, you hereby irrevocably assign to Spill all right, title, and interest (including all copyright) in and to the Ambassador Content that features or promotes Spill or its products and that you create in connection with the Program. To the extent any rights are not assignable, you grant Spill a perpetual, worldwide, royalty-free, fully paid-up, transferable, sublicensable, irrevocable license to use, reproduce, modify, distribute, publicly display, and create derivative works from such Ambassador Content. You agree to take reasonable actions, and to execute any documents Spill reasonably requests, to perfect this assignment, and you waive any moral rights to the extent permitted by law.

2.2 Your Warranties

For all Ambassador Content, you represent and warrant that: (a) it is your original work or you have all necessary rights to it; (b) it does not infringe or violate any third party's intellectual-property, privacy, publicity, or other rights; (c) any third parties depicted have consented; and (d) it complies with all applicable laws and platform rules.

3. Publicity — Use of Your Name, Image, and Likeness

Spill will not use your name, image, voice, or likeness in Spill's own external marketing or advertising without your separate, prior written consent. Nothing in these Content Terms grants Spill a right of publicity in you.

For clarity, this limitation does not restrict Spill from:

• Operating the Program, leaderboard, and dashboard internally and displaying rankings to participants;
• Owning and using the Ambassador Content itself as described in Section 2 — provided that, where Ambassador Content depicts you personally, Spill will not feature you personally (your name, face, or likeness) in Spill's own external marketing without your separate written consent; or
• Identifying contest winners as reasonably necessary to administer and announce the competition (see the Official Competition Rules).

4. Removal

Upon Spill's request or upon termination of your participation, you will promptly remove or stop using Spill Content and any Spill IP. Spill may require you to take down specific posts at any time.

5. Survival

Sections 2 and 3 survive termination of your participation and of the Program.
