Spill Ambassador Program — Official Competition Rules

NO PURCHASE OR PAYMENT OF ANY KIND IS NECESSARY TO ENTER OR WIN. A PURCHASE WILL NOT IMPROVE YOUR CHANCES OF WINNING. This is a contest of skill; winners are determined by measurable performance, not by chance.
1. Sponsor
The Spill Ambassador Program competition (the "Competition") is sponsored by Spill App, Inc., a Delaware corporation (the "Sponsor" or "Spill"). Contact: hello@thespillapp.com.
2. Competition Period
The Competition begins at 12:00 a.m. Eastern Time on June 30, 2026 and ends at 11:59 p.m. Eastern Time on June 30, 2027 (the "Competition Period"). Sponsor's tracking systems are the official timekeepers.
3. Eligibility
The Competition is open only to individuals who, at the time of entry: (a) are at least 18 years old; (b) are legal residents of the fifty (50) United States or the District of Columbia; and (c) are enrolled Spill Ambassadors in good standing who have accepted the Ambassador Program Agreement and these Official Competition Rules.
Employees, officers, and directors of Sponsor, and their immediate family members and households, are not eligible. Void where prohibited or restricted by law.
4. How to Enter / Participate
There is no entry fee and no purchase required. To participate, enroll as a Spill Ambassador and accept these Official Competition Rules. Each Ambassador receives a unique referral link and/or QR code. You participate by sharing your unique referral link/QR code and driving Qualifying Sign-Ups to Spill (the app and/or waitlist).
5. How Winners Are Determined (Skill-Based, Objective)
Winners are determined objectively by the number of Qualifying Sign-Ups attributed to each Ambassador's unique referral link and/or QR code during the Competition Period, as recorded by Sponsor's tracking systems and reflected on the leaderboard and each Ambassador's dashboard.
- "Qualifying Sign-Up" means a new, unique person who joins the Spill waitlist or installs and registers in the Spill app through your unique referral link or QR code, and whom Sponsor determines in good faith to be genuine — that is, not a duplicate, not generated by a bot or automated tool, and not a fraudulent or self-referral.
- Ambassadors are ranked by Qualifying Sign-Up count. Prizes are awarded by placement tier (see Section 6).
- Disqualification: Sponsor may, in its sole discretion, void referrals or disqualify any participant it reasonably believes engaged in fraud, automation, fake or duplicate accounts, self-referrals, spam, or any violation of the Ambassador Program Agreement.
- No element of chance determines winners.
6. Prizes
The following prizes will be awarded. One (1) winner will be selected for each placement tier:

Prize details and conditions:
- Trip prize. Includes the stated tickets plus a US$1,000 travel stipend. All other costs and elements not expressly stated are the winner's responsibility (including, as applicable, additional transportation, meals, incidentals, and anything exceeding the stipend). The travel companion must meet the eligibility requirements in Section 3 and, if requested by Sponsor, sign a liability release. Travel is subject to availability and to dates and conditions reasonably determined by Sponsor.
- Prizes are non-transferable and may not be substituted, except that Sponsor reserves the right to substitute a prize of equal or greater value if an advertised prize becomes unavailable.
- No cash equivalent, except as expressly stated (the US$1,000 stipend) or required by law.
- Total number of prizes is limited as stated; odds of winning depend on the number of participants and their relative performance.
7. Notification and Fulfillment
Potential winners will be notified using the contact information on file (email) within thirty (30) days after the end of the Competition Period. A potential winner may be required to verify eligibility and to sign and return an affidavit of eligibility and a liability release, and to provide tax documentation (see Section 9), within ten (10) days of notification. Prizes will be fulfilled within six (6) months after the close of the Competition. If a potential winner cannot be contacted, is ineligible, fails to respond or return required documents in time, or declines a prize, the prize may be forfeited and awarded to the next-ranked eligible participant.
8. Tie-Breaking
In the event of a tie in Qualifying Sign-Ups for a prize tier, the tie will be broken in favor of the Ambassador who reached that total first (earliest timestamp), as determined by Sponsor's tracking systems.
9. Taxes
All federal, state, and local taxes on any prize are the sole responsibility of the winner. Because the prizes are valued at more than US$600, each U.S. winner will be required to complete an IRS Form W-9 as a condition of receiving a prize, and Sponsor will issue an IRS Form 1099 (or other applicable tax form) as required by law. Winners should consult their own tax advisors.
10. Publicity
Except as needed to administer and announce the Competition, Sponsor will not use a winner's name, image, or likeness in Sponsor's external marketing without the winner's separate prior written consent (consistent with the Content License & Publicity Terms).
11. General Conditions
- Sponsor may suspend, modify, or terminate the Competition if fraud, technical failure, or any other factor beyond its reasonable control impairs the integrity or proper functioning of the Competition, and may determine winners from eligible, non-suspect entries recorded up to that point.
- By participating, entrants agree to be bound by these Official Competition Rules and by Sponsor's decisions, which are final and binding.
- Sponsor is not responsible for lost, late, misdirected, or failed referral tracking, technical malfunctions, or any error in administering the Competition.
- Releases. Participants release Sponsor from claims arising from participation or any prize, as set out in the Release of Liability & Waiver.
- Governing Law; Venue. These Rules are governed by Delaware law, and any dispute will be resolved exclusively in the state or federal courts located in Delaware.
